Enterprise Amateur Radio Society CONSTITUTION
PREAMBLE
We, undersigned, wishing to secure for ourselves the pleasures and benefits of the association of persons interested in amateur radio, constitute ourselves the Enterprise Amateur Radio Society and enact this constitution as our governing law. It shall be our purpose to further exchange information and co-operation between members to promote radio knowledge, common bonds, and individual operating efficiency. Conducting club programs and activities as to advance the general interest and welfare of amateur radio in the community.
ARTICLE I
MEMBERSHIP:
All persons interested in amateur radio communications (radio communications between amateur stations solely with a personal aim without pecuniary interest) shall be eligible for membership. Membership shall be by application and election upon such terms as the club shall establish by it’s By-Laws.
ARTICLE II
OFFICERS:
Sec 1 - The officers of this club shall be: President, Vice-President, Secretary, Treasurer, and Public Information Officer. The Secretary and Treasurer may be combined as one position if necessary.
Sec 2 - The officers of this club shall be elected for a term of one year by ballot of the members present, provided there be a quorum at the regular meeting in October.
Sec 3 - Vacancies occurring between elections must be filled by special elections at the first regular meeting following the withdrawal or resignation.
Sec 4 - Officers may be removed by a 51% vote of the membership.
ARTICLE III
DUTIES OF OFFICERS:
Sec 1 - The president shall preside at all meetings of this club, and conduct the same according to the rules adopted. He or she shall enforce observance of this Constitution and the By-Laws; decide all questions of order; sign all official documents that are adopted by the club, and none other; and perform all customary duties pertaining to the office of President.
Sec 2 - The Vice-President shall assume all the duties of the President in the absence of the latter.
Sec 3 - The Secretary shall keep a record of the proceedings of all meetings, keep a roll of members, submit applications for membership, carry on all correspondence, read communications at each meeting, notify each member of meetings. He or she shall, at the expiration of the term of office, turn over all items belonging to the club to the successor.
Sec 4 - The Treasurer shall receive and receipt for all monies paid to the club, keep an accurate account of all monies received and expended. The Treasurer shall pay no bills without proper authorisation (by the club or it’s officers consisting of a business committee. ) At the end of each quarter, an itemised statement of disbursements and receipts shall be submitted. Records will be made available for an annual audit, such to be conducted by a team of three club members. At least one member of the audit team will be a club officer. Other than the Treasurer, and at least one member of the team will be familiar with accounting procedures. The Treasurer at the end of the period of service, will turn over all possessions of the club to the successor.
Sec 5 - The Public Information Officer shall organise club member activities, plan and recommend contests for operating benefit, and advance club interest and activity as approved by the club. He or she will maintain close liaison with ARRL Section PIO to further club knowledge of and participation in various events if interests to area members. The office will maintain liaison with the local news media and at times provide press releases to make the reputation of the club and amateur radio activities in the community as outstanding as possible. This office shall encourage all members in reporting activities for a club newsletter / social media. The PIO may appoint traffic committees or assistants to aid in specific branches of activity.
Article IV
MEETINGS:
The By-Laws shall provide for regular and special meetings. At meetings two (2)paid up members and two (2) elected officers shall constitute a quorum for the transaction of business.
Article V
DUES:
The club by majority vote of those present at any regular meeting, my levy on the general membership such dues or assessments as shall be deemed necessary for business of the organisation within its objects sas set forth in the Preamble. Non payment of such dues or assessments within 90 days shall be cause for a member to be placed on the inactive list. Such member will be reinstated upon payment of current dues.
Article VI
MEMBERSHIP ASSISTANCE:
This club may enact appropriate rules to minimise interference in operations between stations of its members, it may formulate adequate plans for disposition of any cases of interference to other radio services where reported as caused by any amateur station operation in the area of club jurisdiction. The club through designated committees if necessary, will provide technical advice to members concerning design and operation, to assist in frequency observance, clean signals, uniform practice, and absence of spurious signals from club member stations. The club may also maintain a program to foster and guide public relations in this ideal.
Article VII
AMENDMENTS:
This Constitution or By-Laws may be amended by two- thirds vote of the total membership. Proposals for amendments shall be submitted in writing at a regular meeting, and shall be voted on at the next following regular meeting, provided all members have been notified by mail / email of the intent to amend the Constitution and or By-Laws at the said meeting.
Article VIII
RULES:
Roberts Rules of Order shall govern the proceedings.
